How an assignment purchase works
The sequence below is designed for a purchase of rights under a Russian equity participation agreement before the building is completed.
1. Confirm what is being assigned
The seller transfers rights and obligations under an existing equity participation agreement. Check the signed agreement, amendments, payment documents and the exact home, building and completion terms before making a reservation payment.
2. Compare like with like
Compare price per m², layout, floor, finish, building and expected completion date. Our price difference is based on medians within one development and is a market reference, not a valuation of a specific home.
3. Check the seller and the contract
Verify the seller's identity and authority, marital status where relevant, payment status under the development contract, existing pledges, court restrictions, bankruptcy risks and any contract terms that limit assignment.
4. Review developer requirements
Whether formal consent is required depends on payment status and the contract. Even where statutory consent is not required, the contract may define a notice or approval procedure and a fee. Obtain the required documents before settlement.
5. Coordinate the mortgage
If you use a mortgage, confirm that the bank finances assignments in this development and building. If the seller's rights are pledged, coordinate repayment and release with the seller's bank before signing.
6. Use conditional settlement
Separate money already paid under the development contract from any additional payment to the seller. Use a bank mechanism that releases funds only after registration and after the agreed documents have been provided.
7. Register the assignment
The assignment agreement must be registered with Rosreestr. After registration, notify the developer and bank as required, keep the registered documents and follow the original contract through building completion and handover.
